계약서에 사용되는 조동사 (1) shall, shall not & should

계약서에 사용되는 조동사는 일반적인 영문에 사용되는 용법과 다소 달라서, 번역을 할 때 주의해야 합니다. 오늘은 1편으로 계약서에서 가장 빈도수가 높은 조동사인 shall 과
shall not & should에 대해서 알아 보겠습니다.

1) 계약서에서 "shall"은 의무, 강제, 미래의 약속을 나타내고 "~해야(만) 한다", "~하기로 한다", 또는 "~  한다" 라고 번역합니다.

     같은 의미를 가진 다른 표현으로는
   

• be under the obligation to
• be to
• agree to
• be obliged to
• be liable to
• be responsible to 등이 있습니다.

     의무, 강제를 나타내는 shall은 "must", "should"에 가까운 의미를 가지므로
     그 의미를 강조하기 위해서 "must"를 사용할 수 있는 경우도 있습니다.
     흔히 하는 실수로 "미래의 약속"을 나타내기 위해서"미래"만의 의미를 가지는 "will"을
     사용하기 쉬운데, "미래+약속"의 경우는 shall을 사용해야 합니다.

예문)
It is agreed that a Receiving Party shall return to a Disclosing Party immediately upon termination or expiration of this Agreement or upon its first request, all written documents, reports and samples disclosed by the Disclosing Party pursuant to this Agreement and promptly destroy all other data and records and delete any electronic, magnetic and optic media and computer files in which any Confidential Information is stored.

     한편, "shall not"은 금지, 부작위 의무를 나타내고, "~해서는 안된다", "할 수 없다"로
     번역하면 됩니다.

예문)
The Parties agree that a Receiving Party shall not use, disclose or discuss any Confidential Information disclosed to it by a Disclosing Party, to or with third parties, for any purpose whatsoever without first obtaining the Disclosing Party’s express written consent, which may be granted or withheld at its sole discretion.

  2) 일반적인 영문에서의  "should"는 "의무"를 나타내는 조동사이지만

      법률 문서에서의 "should"는가정법 미래 용법으로
       "If S should V...", Should S V ..."와 같은 형태로 표현되면,
       "발생하지 않은 (발생하지 않기를 바라는) 미래 사실", "발생할 가능성이 없는 미래
       사실"을 나타내는 조동사로 쓰이므로, "if~", "in case of~"와 같이
       "만약(에)..." 라고 번역해야 합니다.

      영문 법률 문서에서 "의무"를 나타내는 경우에는 "shall", "must"와 같은
      명확한 의무를 뜻하는 조동사를 쓰는 것이 최선이지만, 요즘은 "should"를
      의무 표현으로사용하는 계약서도 흔히 볼 수 있으니, 틀린 용법은 아니라고 봅니다.

예문) should가 가정법으로 사용되는 경우

This contract agreement is made in four (04) original sets of equal validity (01 set includes 01 English version and 01 Vietnamese version); each party keeps two (02) sets. Should there is any discrepancy between the two versions, the English version shall prevail on the extent that such discrepancy is the result of an error in translation.
